Customer represents that it has the authority to provide such access.

Humble Beast will use such access only as reasonably necessary to perform authorized Services.

Customer has no obligation to purchase additional services.

Any additional services purchased from Humble Beast may be governed by a separate proposal, statement of work, order form, service agreement, or other written authorization.

2. PLATFORM LICENSE AND AUTHORIZED USERS

Subject to Customer's compliance with these Terms and payment of all applicable fees, Humble Beast grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Platform during Customer's active subscription.

Customer may permit its employees, contractors, and representatives to access the Platform as authorized users for legitimate Customer business purposes.

Unless otherwise stated during signup, the number of authorized users is not limited by Humble Beast.

Customer is responsible for activity occurring through its account and for maintaining the confidentiality and security of its usernames, passwords, and other account credentials.

Customer may not sell, sublicense, rent, lease, copy, reverse engineer, circumvent, commercially exploit, or provide unauthorized third-party access to the Platform.

3. CUSTOMER DATA

3.1 Ownership

As between Humble Beast and Customer, Customer retains ownership of the business information, contact information, customer records, prospect records, content, communications, documents, and other data Customer uploads to or creates through the Platform ("Customer Data").

Customer grants Humble Beast and its technology providers a limited right to host, process, transmit, store, access, and otherwise use Customer Data as reasonably necessary to provide the Platform and Services.

3.2 Customer Responsibility for Data

Customer represents that it has all rights, permissions, notices, and consents reasonably necessary to collect, upload, store, process, use, and communicate with individuals contained within Customer Data.

Customer is responsible for the accuracy, legality, quality, and integrity of Customer Data.

3.3 Data Export Following Termination

Following termination of Customer's subscription, Customer is responsible for exporting or downloading any Customer Data it wishes to retain.

Humble Beast may delete Customer Data following termination after a reasonable retention period, subject to applicable law and the policies or technical limitations of third-party Platform providers.

Humble Beast does not guarantee indefinite storage of Customer Data following termination.

4. CUSTOMER COMMUNICATIONS AND LEGAL COMPLIANCE

The Platform may provide Customer and Humble Beast with tools capable of sending email, SMS/text messages, telephone communications, automated communications, social media messages, and other communications.

Customer authorizes Humble Beast to use these tools on Customer's behalf when Humble Beast is providing authorized outreach or support Services.

Customer remains responsible for the underlying business purpose, legitimacy, and lawfulness of Customer's contact lists, campaigns, communications, and marketing activity.

Customer agrees to comply with all applicable laws, regulations, industry requirements, carrier requirements, platform rules, and other requirements governing Customer's communications and marketing activities, including requirements relating to:

Humble Beast may rely upon Customer's representation that Customer has the legal right and appropriate permission to contact individuals contained within Customer's databases or contact lists.

Humble Beast may refuse, suspend, or discontinue any outreach activity that Humble Beast reasonably believes may violate applicable law, industry requirements, platform rules, or these Terms.

Humble Beast does not provide legal advice concerning Customer's communications, contact lists, consent procedures, marketing campaigns, or regulatory obligations.

5. ACCEPTABLE USE

Customer may not use the Platform:

for unlawful, fraudulent, deceptive, abusive, or malicious purposes;

to violate another person's intellectual property, privacy, publicity, or contractual rights;

to send communications in violation of applicable consent, marketing, telecommunication, privacy, or advertising laws;

to interfere with the operation, security, or integrity of the Platform; or

in violation of applicable third-party Platform rules or acceptable-use requirements.

Humble Beast may suspend or terminate Platform access if Humble Beast reasonably believes Customer is violating these Terms, applicable law, third-party Platform requirements, or creating a material risk to Humble Beast, the Platform, another customer, or a third party.

When reasonably practicable, Humble Beast will provide Customer notice of the issue and an opportunity to correct it before terminating access.

6. FEES AND PAYMENT

6.1 Initial Setup Fee

Customer agrees to pay Humble Beast a one-time Initial Setup Fee of $500.00.

The Initial Setup Fee becomes non-refundable once Humble Beast begins setup or onboarding work.

6.2 Monthly Platform Access Fee

Customer agrees to pay Humble Beast a recurring Monthly Access Fee of $100.00 per month.

The Monthly Access Fee provides continued access to the Platform and the support and Platform-related Services described in these Terms.

The subscription operates on a month-to-month basis and automatically renews each month until canceled.

There is no long-term contractual commitment unless Customer separately agrees in writing to a different term.

6.3 Optional or Usage-Based Features

Certain optional features, third-party services, artificial intelligence tools, telecommunication services, email services, telephone numbers, messaging volume, data services, integrations, or other functionality may result in additional charges.

Humble Beast will disclose additional charges before Customer intentionally purchases or activates a separately billed feature when reasonably practicable.

6.4 Recurring Payment Authorization

By providing a payment method and enrolling in the Platform, Customer authorizes Humble Beast and its payment processor to charge Customer's payment method for:

the Initial Setup Fee;

the Monthly Access Fee;

applicable taxes; and

additional services or Platform features affirmatively purchased by Customer.

The Monthly Access Fee will automatically recur each month until Customer cancels its subscription.

6.5 Failed Payments

Customer is responsible for maintaining a valid payment method.

If a payment is declined or becomes past due, Humble Beast may suspend Customer's access to the Platform until the outstanding balance is paid.

Customer remains responsible for fees incurred before the effective date of suspension or termination.

6.6 Taxes

Fees do not include sales, use, excise, or similar governmental taxes or charges unless expressly stated otherwise.

Customer is responsible for applicable taxes imposed upon Customer's purchase or use of the Services, except taxes based upon Humble Beast's net income.

7. CANCELLATION AND TERMINATION

7.1 Month-to-Month Subscription

Customer's subscription is month-to-month.

There is no annual commitment and no early termination fee.

7.2 Customer Cancellation

Customer may cancel its subscription at any time by sending written notice to:

info@ humblebeastmedia.net

Customer may also use any online cancellation method Humble Beast may make available.

Cancellation will take effect at the end of Customer's then-current paid monthly billing period.

Customer will continue to have Platform access through the end of that paid billing period unless access is terminated earlier for violation of these Terms.

Once cancellation becomes effective, no additional Monthly Access Fee will be charged.

7.3 No Advance Cancellation Period Required

Customer is not required to provide thirty (30) days' advance notice.

To avoid being charged for the next monthly billing cycle, Customer must submit its cancellation request before the next scheduled billing date.

7.4 No Refunds or Proration

Except as required by law or expressly approved by Humble Beast, fees already paid are non-refundable.

Humble Beast does not provide prorated refunds or credits for partially used monthly subscription periods.

7.5 Termination by Humble Beast

Humble Beast may suspend or terminate Customer's subscription for:

nonpayment;

material violation of these Terms;

unlawful or abusive use of the Platform;

activity that creates security, legal, regulatory, reputational, or operational risk;

violation of applicable third-party Platform requirements; or

misuse of Humble Beast systems or Services.

When reasonably practical, Humble Beast will provide Customer an opportunity to correct a curable violation before termination.

7.6 Discontinuation of the Service

Humble Beast may discontinue the Platform or materially change its subscription offering upon reasonable advance notice to Customer.

If Humble Beast permanently discontinues Customer's paid Platform subscription before the end of a prepaid billing period, Humble Beast may provide a prorated refund for the unused portion of that period.

8. THIRD-PARTY TECHNOLOGY

Customer acknowledges that portions of the Platform may rely upon software, hosting, telecommunications providers, payment processors, integrations, artificial intelligence providers, application programming interfaces, social media platforms, and other services supplied by third parties.

Humble Beast does not control all third-party systems.

Features may therefore be modified, restricted, interrupted, discontinued, or become unavailable as a result of changes made by third-party providers.

Humble Beast may replace, modify, add, or discontinue Platform features from time to time provided that Humble Beast does not intentionally eliminate the fundamental purpose of Customer's subscription without reasonable notice.

9. PLATFORM AVAILABILITY AND DISCLAIMER

Humble Beast will use commercially reasonable efforts to provide reliable access to the Platform.

However, Humble Beast does not guarantee that the Platform will operate uninterrupted, error-free, or without temporary outages.

Platform access may be interrupted because of maintenance, software updates, internet outages, third-party system failures, telecommunications disruptions, social media platform changes, security events, force majeure events, or other circumstances outside Humble Beast's reasonable control.

Except as expressly provided in these Terms, the Platform and Services are provided on an "as available" and "as is" basis, to the fullest extent permitted by law.

Humble Beast does not guarantee any particular business, marketing, revenue, sales, lead-generation, conversion, or financial result from Customer's use of the Platform or Services.

10. INTELLECTUAL PROPERTY

Customer retains ownership of Customer's names, logos, trademarks, content, business information, and other materials supplied by Customer.

Humble Beast and its licensors retain ownership of the Platform, software, workflows, documentation, templates, systems, designs, processes, know-how, trademarks, and other intellectual property owned or developed by Humble Beast or its licensors.

Nothing in these Terms transfers ownership of Humble Beast intellectual property to Customer.

11. CONFIDENTIALITY

Each party may receive confidential or proprietary information belonging to the other party.

Each party agrees to:

use confidential information only as reasonably necessary to perform or receive the Services;

protect confidential information using reasonable safeguards; and

disclose confidential information only to employees, contractors, professional advisers, technology providers, or service providers who reasonably require access and who are subject to appropriate confidentiality obligations.

Confidential information does not include information that:

is publicly available through no breach of these Terms;

was lawfully known by the receiving party before disclosure;

is received lawfully from another source without confidentiality restrictions; or

is independently developed without use of the other party's confidential information.

Disclosure required by law, subpoena, or court order will not constitute a breach of this Section.

12. INDEMNIFICATION

Customer agrees to defend, indemnify, and hold harmless Humble Beast and its owners, employees, representatives, affiliates, contractors, and technology providers from third-party claims, damages, fines, penalties, liabilities, costs, and reasonable attorneys' fees arising from or relating to:

Customer's unlawful or unauthorized use of the Platform;

Customer's communications, advertisements, campaigns, contact lists, or marketing activities;

outreach performed by Humble Beast based upon information, instructions, contact lists, content, claims, or authorization supplied by Customer;

Customer's violation of applicable law;

Customer's violation of another person's privacy, intellectual property, publicity, or other legal rights;

Customer Data or content supplied by Customer; or

Customer's material violation of these Terms.

This obligation does not apply to the extent a claim results directly from Humble Beast's gross negligence, willful misconduct, or unlawful conduct.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, lost opportunities, loss of goodwill, loss of data, or loss of business arising out of or relating to these Terms or the Services.

Except for Customer's payment obligations, indemnification obligations, violation of intellectual property rights, fraud, willful misconduct, or liability that cannot legally be limited, the total aggregate liability of Humble Beast arising out of or relating to these Terms will not exceed the amounts actually paid by Customer to Humble Beast under these Terms during the twelve (12) months immediately preceding the event giving rise to the claim.

14. PRIVACY

Humble Beast's collection and handling of personal information is also governed by the Humble Beast Media Privacy Policy.

By accepting these Terms, Customer acknowledges that it has been provided access to the Privacy Policy.

Customer remains responsible for maintaining any privacy notices, disclosures, policies, consents, or authorizations required in connection with Customer's own collection and use of information through the Platform.

15. INDEPENDENT CONTRACTORS

Humble Beast and Customer are independent contracting parties.

Nothing in these Terms creates an employment relationship, partnership, joint venture, franchise, fiduciary relationship, or general agency relationship between the parties.

The limited authority granted to Humble Beast to access Customer systems, use Customer branding, and perform outreach on Customer's behalf does not create a general agency relationship or give Humble Beast authority to legally bind Customer to contracts, obligations, or financial commitments unless separately authorized in writing.

16. CHANGES TO THESE TERMS

Humble Beast may modify these Terms from time to time.

If Humble Beast makes a material change affecting Customer's subscription, Humble Beast will provide reasonable notice by email, through the Platform, or through another reasonable method.

Continued use of the Platform after the effective date of the updated Terms constitutes acceptance of those Terms to the extent permitted by applicable law.

Material changes to the Monthly Access Fee will be communicated before the new pricing is charged.

Customer may cancel the subscription before a pricing change takes effect.

17. GOVERNING LAW AND VENUE

These Terms will be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles.

Any legal action, lawsuit, or proceeding arising out of or relating to these Terms, the Platform, or the Services will be brought exclusively in a state or federal court having jurisdiction in or serving Clark County, Kentucky.

Each party consents to the personal jurisdiction and venue of those courts.

18. FORCE MAJEURE

Humble Beast will not be liable for delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, severe weather, acts of government, labor disputes, internet or telecommunications failures, utility failures, cyberattacks, third-party software interruptions, social media platform interruptions, war, civil unrest, or similar events.

19. ASSIGNMENT

Customer may not assign or transfer this Agreement without Humble Beast's prior written consent.

Humble Beast may assign these Terms in connection with a merger, acquisition, corporate restructuring, sale of substantially all assets relating to the Services, or transfer to an affiliated entity.

20. ENTIRE AGREEMENT

These Terms, the applicable signup or order page, the Privacy Policy, and any documents expressly incorporated into these Terms constitute the entire agreement between Humble Beast and Customer concerning the Platform subscription and Services described in these Terms.

Any separate marketing, consulting, creative, advertising, or professional services purchased from Humble Beast may be governed by a separate agreement, proposal, order form, or statement of work.

If there is a conflict between these Terms and a separately signed agreement concerning additional services, the separately signed agreement will control with respect to those additional services.

21. SEVERABILITY AND WAIVER

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.

A party's failure to enforce a provision of these Terms does not waive that party's right to enforce the provision later.

22. ELECTRONIC ACCEPTANCE

Customer agrees that electronic acceptance of these Terms has the same force and effect as a written signature.

By checking the applicable acceptance box and submitting the signup form, the person completing enrollment:

acknowledges that he or she has read and agrees to these Terms;

represents that he or she has authority to enter into this Agreement on behalf of Customer;
